News Agent is an AI-powered social media automation platform that provides the following services:

• AI-generated social media content based on trending news and user-selected topics
• Automated publishing to connected social media platforms (Twitter/X, LinkedIn, Reddit, Facebook, Telegram, and others)
• Scheduling and automation of social media posts
• Trend analysis and content recommendations
• Analytics and performance tracking
• Multi-agent management for automated posting workflows

The availability of specific features depends on your subscription tier. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Eligibility

To use our Service, you must:

• Be at least 16 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Comply with the terms of service of all connected social media platforms

By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account

4.3 Account Restrictions

You may not:

• Create multiple accounts to circumvent usage limits or restrictions
• Share your account credentials with third parties
• Transfer your account to another person without our consent
• Use another person's account without authorization

5. Subscriptions and Payment

5.1 Subscription Tiers

We offer various subscription tiers with different features and usage limits. The current tiers and their features are displayed on our pricing page. We reserve the right to modify pricing and features with reasonable notice.

5.2 Billing

• Subscriptions are billed monthly in advance
• Payment is processed through our payment provider, LemonSqueezy
• By subscribing, you authorize us to charge your payment method on a recurring basis
• Prices are subject to applicable taxes

5.3 Refund Policy

For new subscriptions where no service usage has occurred, you may request a refund within 7 days of the initial purchase by contacting us at or@ailead.work.

5.4 Cancellation

• You may cancel your subscription at any time through your account settings or by contacting us
• Upon cancellation, your subscription will remain active until the end of the current billing period
• You will continue to have access to paid features until your subscription period ends
• After the subscription period ends, your account will revert to the free tier
• We do not provide prorated refunds for unused portions of a billing period

5.5 Failed Payments

If a payment fails, we may retry the charge and/or suspend your access to paid features until payment is successfully processed. Continued payment failures may result in subscription cancellation.

6. Prohibited Uses

You agree not to use the Service to create, distribute, or publish content that:

6.1 Harmful or Illegal Content

• Violates any applicable law, regulation, or legal obligation
• Promotes violence, terrorism, or illegal activities
• Contains threats, harassment, bullying, or intimidation
• Constitutes hate speech or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
• Contains sexually explicit or pornographic material
• Exploits minors in any way
• Promotes self-harm or suicide

6.2 Spam and Manipulation

• Spam, unsolicited messages, or bulk commercial communications
• Artificially inflating engagement metrics (fake likes, followers, etc.)
• Coordinated inauthentic behavior or manipulation campaigns
• Automated posting that violates platform rate limits or terms
• Circumventing our rate limits or usage restrictions

6.3 Misinformation and Deception

• Deliberate misinformation, disinformation, or fake news
• Impersonation of individuals, organizations, or entities
• Fraudulent schemes, scams, or deceptive practices
• Misleading claims about products, services, or health treatments
• Election interference or voter manipulation

6.4 Intellectual Property Violations

• Copyright, trademark, or other intellectual property infringement
• Unauthorized use of third-party content, images, or media
• Plagiarism or misattribution of content

6.5 Technical Abuse

• Distributing malware, viruses, or malicious code
• Attempting to gain unauthorized access to our systems or other users' accounts
• Reverse engineering, decompiling, or disassembling the Service
• Scraping or automated data collection beyond permitted use
• Interfering with or disrupting the Service or its infrastructure

6.6 Commercial Restrictions

• Reselling, sublicensing, or redistributing the Service without authorization
• Using the Service to build a competing product
• Providing access to third parties as a managed service without our consent

• Using the Service in ways that could result in platform bans or restrictions

We reserve the right to investigate violations and take appropriate action, including content removal, account suspension, or termination without refund.

• AI-generated content will be accurate, appropriate, or suitable for your purposes

• Any errors or defects will be corrected

11. Limitation of Liability

This includes, but is not limited to, damages arising from:

• Content published through the Service
• Account suspensions or bans on third-party platforms
• Service interruptions or unavailability
• Errors in AI-generated content
• Unauthorized access to your account
• Third-party actions or platform changes

Maximum Liability: Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless News Agent and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

13. Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. Upon termination, your right to use the Service will cease immediately.

We may suspend or terminate your account immediately, without prior notice, if:

• We reasonably believe your conduct may harm us, other users, or third parties

14. Dispute Resolution

14.2 Jurisdiction and Venue

If informal resolution is unsuccessful, any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of competent jurisdiction. You consent to the personal jurisdiction of such courts.
